Zespół Elektrociepłowni Wrocławskich KOGENERACJA S.A. belongs to PGE Energia Ciepła, the PGE Group’s Company. KOGENERACJA S.A. consists of three production plants with a total electric capacity of 365.7 MW and a total thermal capacity of 1,080.4 MW.
KOGENERACJA S.A. supplies district heating and power using the cogeneration process. This technological process enables us to successfully fulfil the requirement to generate the two currently indispensable types of energy in a cost-efficient and environmentally-friendly way. This is of utmost importance to the Greater Wrocław area, where our plants are located.

A list of the shareholders holding, directly or indirectly through their subsidiaries, at least 5% of the voting rights at the General Meeting of KOGENERACJA S.A.
On November 13, 2017, the PGE Group acquired EDF assets in Poland (Current Report 26/2017) and in connection with an indirect acquisition of shares of KOGENERACJA S.A. owns 50% plus 1 share and holds 50% plus 1 vote at the General Meeting.
On March 14, 2018, as a result of the announced tender offer for subscription for the sale of shares of KOGENERACJA S.A., PGE Group has achieved 58.07% of the total number of votes at the General Meeting of the Company.
As a result of the cross-border merger through the acquisition of all the assets of Investment III B.V., by PGE Energia Ciepła S.A., registered in the Companies Register of the National Court Register on 4 September 2018, PGE Energia Ciepła S.A. on the same day acquired 4,807,132 shares in the Company.
PGE Energia Ciepła, the PGE Group’s Company is the Polish largest producer of electricity and heat in cogeneration. PGE Energia Ciepła has about 25 percent share in the heat market from cogeneration, 13 heat and power generating plants (6.5 GWt of thermal power and 2.3 Gwe of electricity) and 609 km of heating networks. PGE Energia Ciepła produces and provides heat in the largest Polish cities: Kraków, Gdańsk, Gdynia, Wrocław, Rzeszów, Lublin, Bydgoszcz and Kielce as well as in Toruń, Zielona Góra, Gorzów Wielkopolski, Zgierz and Siechnice, where PGE Energia Ciepła also has heating networks. PGE Energia Ciepła is also the owner of the system power station in Rybnik.
